Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Regacity Enterprise (operating eBil at ebil.my). By creating an account or using eBil, you accept these Terms. If you do not agree, do not use the service.

1. The agreement

"We", "us", "eBil" means Regacity Enterprise. "You" means the individual or business entity using the service. By signing up, you confirm you have authority to enter into this agreement on behalf of the entity you represent.

2. Eligibility

You must be at least 18 years old, legally capable of entering into contracts under Malaysian law, and operating a legitimate business or freelance activity. eBil is intended for use by Malaysian micro and solo businesses, but is accessible to others provided they comply with these Terms and applicable laws.

3. Your account

You are responsible for:

• Keeping your login credentials confidential.
• All activity that occurs under your account.
• Providing accurate, current, and complete information about yourself and your business.
• Notifying us promptly of any unauthorised use or security breach.

We may suspend or terminate accounts that violate these Terms, are inactive for an extended period, or pose a security or legal risk.

4. Free and Pro plans

eBil offers two tiers:

• Free — limited to 30 invoices per month, 5 line items per invoice, and 30 days of invoice history. No payment required.
• Pro — RM19.90 per month, with unlimited invoices, full history, and access to all premium features.

Plan limits and pricing may change with at least 30 days' notice. Existing subscribers will be notified by email.

5. Subscription, billing, and auto-renewal

Pro is billed in advance, on a recurring monthly basis, via Stripe. By subscribing, you authorise us to charge your payment method automatically until you cancel. The renewal date matches the date you originally subscribed.

If a charge fails, we will retry it according to Stripe's standard retry schedule. If retries fail, your account will be downgraded to Free until payment is restored.

Payments are in Malaysian Ringgit (MYR). Stripe processing fees are absorbed by us; you pay the listed price. You are responsible for any taxes that may apply to you personally.

6. Cancellation and refunds

You may cancel your Pro subscription at any time from your account settings or by contacting us. Cancellation behaviour:

• Your Pro access continues until the end of your current billing cycle.
• You will not be charged again after cancellation.
• After the billing cycle ends, your account reverts to the Free tier — your data is preserved.

No refunds. We do not provide partial or full refunds for any unused portion of a billing cycle, nor for periods of non-use during an active subscription. By subscribing, you acknowledge and agree to this no-refund policy.

Exception: If a charge is due to our error (duplicate billing, technical fault, charge after confirmed cancellation), contact us within 14 days and we will refund the affected amount.

7. Chargebacks

If you believe a charge is incorrect, please contact us first at hello@ebil.my. We respond within 3 business days and will resolve legitimate billing errors promptly.

Initiating a chargeback with your bank or card issuer without first attempting to resolve the issue with us may result in suspension of your account. We will dispute chargebacks we believe to be invalid using payment records, login activity, and service usage logs as evidence.

8. Acceptable use

You agree not to:

• Use eBil to issue fake, fraudulent, or misleading invoices.
• Submit invoices to LHDN that you know to be inaccurate.
• Reverse-engineer, scrape, or attempt to derive source code from the service.
• Bypass rate limits, plan limits, or security measures.
• Resell, sublicense, or share your account with third parties.
• Upload malicious files, viruses, or content that violates the law.
• Use the service for money laundering, tax evasion, or any illegal activity.
• Abuse the AI features (excessive automated requests, prompt injection attempts).
• Create multiple accounts solely to exploit free-tier limits or referral promotions.

Violation may result in immediate account suspension or termination, with no refund.

9. LHDN MyInvois integration

eBil offers optional integration with LHDN's MyInvois system. When you enable this integration:

• You are solely responsible for the accuracy of all invoice data submitted.
• You must provide your own LHDN MyInvois Client ID and Client Secret. You are responsible for keeping these credentials valid.
• We act as a technical facilitator only. We do not validate, certify, or guarantee that submissions comply with LHDN requirements.
• You are responsible for compliance with all Malaysian tax laws, retention requirements, and reporting obligations.
• If LHDN's API is unavailable, delayed, or rejects a submission, we are not liable for any resulting tax penalty, missed deadline, or loss.

10. Referral and KOL program

If you participate in the eBil referral or KOL program:

• You may not refer yourself or use your own promo code.
• Earnings are calculated and paid as described on the referral dashboard. We reserve the right to adjust the program structure with notice.
• Fraudulent or abusive referrals (fake accounts, manipulated signups, deceptive promotion) will result in forfeiture of earnings and removal from the program.
• Payout is by bank transfer to the account you provide. You are responsible for any taxes on referral earnings.
• We may suspend or terminate referral codes at our discretion if abuse is suspected.

11. Intellectual property

eBil — including its software, design, branding, copy, and logos — is owned by Regacity Enterprise and protected by Malaysian and international IP laws. You receive a limited, non-exclusive, non-transferable licence to use eBil for its intended purpose during your subscription.

You retain full ownership of your invoice content, customer data, and any files you upload. You grant us a limited licence to host, process, and display this content solely to operate the service for you.

12. AI-powered features

eBil includes optional AI features powered by Google Gemini (via Firebase AI Logic). You acknowledge that:

• AI output may contain errors. You are responsible for reviewing AI-generated content before using it on invoices or sharing it externally.
• We do not guarantee specific results from AI features.
• We do not use your invoice content to train AI models.
• Subject to fair-use limits to prevent abuse.

13. Service availability

We aim for high availability but do not guarantee uninterrupted service. Maintenance, third-party outages (Firebase, Stripe, LHDN), or unexpected technical issues may cause downtime. We are not liable for losses arising from temporary unavailability.

14. Disclaimers

eBil is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties — express, implied, statutory, or otherwise — including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

We do not guarantee that eBil will meet your specific requirements, will be error-free, or that defects will be corrected. We are not your accountant, tax advisor, or lawyer. eBil is a software tool, not professional advice.

15. Limitation of liability

To the maximum extent permitted by Malaysian law, our total aggregate liability arising out of or relating to these Terms or your use of eBil is limited to the amount you paid us in the 12 months preceding the event giving rise to the claim, or RM200, whichever is greater.

We are not liable for indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profit, loss of data, business interruption, tax penalties, or reputational harm — even if we have been advised of the possibility of such damages.

Nothing in this section limits liability for fraud, gross negligence, or other liability that cannot be limited under applicable law.

16. Indemnification

You agree to indemnify and hold harmless Regacity Enterprise, its owners, employees, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of eBil, your violation of these Terms, your violation of any law, or your violation of any third party's rights.

17. Termination

You may terminate your account at any time by contacting us or using the in-app account deletion feature.

We may suspend or terminate your account immediately if you violate these Terms, fail to pay, or pose a legal or security risk. Upon termination, your access ends and your data is handled per our Privacy Policy.

Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, governing law) will survive.

18. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email and via an in-app banner at least 14 days before taking effect. Your continued use of eBil after the effective date means you accept the revised Terms. If you do not agree, you may cancel your subscription before the changes take effect.

19. Governing law and disputes

These Terms are governed by the laws of Malaysia. Any dispute arising out of or relating to these Terms or your use of eBil shall be subject to the exclusive jurisdiction of the courts of Malaysia.

Before filing legal action, you agree to first attempt to resolve the dispute informally by contacting us at hello@ebil.my. We will respond within 14 days and work in good faith to find a resolution.

20. General

• Severability — If any provision is found unenforceable, the remaining provisions remain in full force.
• No waiver — Our failure to enforce a right is not a waiver of that right.
• Assignment — You may not transfer your account or these Terms to anyone else without our written consent. We may assign our rights and obligations to a successor (e.g., if Regacity Enterprise is restructured into a Sdn Bhd or sold).
• Entire agreement — These Terms, together with our Privacy Policy and PDPA Notice, constitute the entire agreement between you and us regarding eBil.
• Language — These Terms are written in English. A Bahasa Malaysia translation may be made available; in case of inconsistency, the English version prevails.
